Scottish Entrepreneurial Ecosystem Guide Terms
Please read these terms and conditions carefully:
1. What we will use the information for
1.1. Scottish Enterprise will store and use the information provided on this form to collate a guide to be entitled “Scottish Entrepreneurial Ecosystem Guide”. The guide is being collated by Scottish Enterprise in connection with its’ work on the ecosystem and will be made freely available in a PDF version and a web version. The PDF version will be available to the public on scottish-enterprise.com owned and operated by Scottish Government and/or at events and/or seminars hosted by Scottish Enterprise and/or by any of the partners listed on scottish-enterprise.com. The web version will be made available on a website hosted by Scottish Enterprise.
1.2. The information contained and/or to be contained in the guide (i) has been or will be supplied by third parties (ii) does not purport to be comprehensive and (iii) has not been independently verified. While the guide will be compiled in good faith by Scottish Enterprise and/or its’ appointed agents, no representation, warranty, assurance or undertaking (express or implied) is or will be made and no responsibility or liability is or will be accepted, by Scottish Enterprise or by any of its’ officers, employees or agents, in relation to the adequacy, accuracy or completeness of the guide. All and any such responsibility of Scottish Enterprise is expressly disclaimed.
1.3. Scottish Enterprise may also, from time to time, share the information provided on this form (including any personal data as defined in the UK General Data Protection Regulation (“UK GDPR”) and/or the guide itself with third parties at any time, including without limitation, where such sharing is required or considered appropriate by Scottish Enterprise on the grounds of public accountability or as it may be obliged to do so and/or consider appropriate (acting reasonably), under any legislative provision (including, without limitation, the Freedom of Information (Scotland) Act 2002, the Environmental Information (Scotland) Regulations 2004 and INSPIRE (Scotland) Regulations 2009 and/or) in terms of any other relevant regulation or code of practice applicable from time to time to public bodies.
1.4. Scottish Enterprise will hold any personal information provided on this form in accordance with its’ obligations under the UK GDPR and the Data Protection Act 2018 (“Data Protection Legislation”) and its’ privacy statement. You have the right to request a copy of the information that we hold about you under the Data Protection Legislation at any time by contacting us.
1.5. Information submitted through this form will be processed by Scottish Enterprise and our suppliers for the purposes outlined in this Clause 1. Your information will be stored securely using approved Scottish Enterprise systems with relevant access controls.
2. Consent
2.1. By completing and returning this form, you hereby:
2.1.1. Consent to Scottish Enterprise and/or any relevant third party storing and using the information provided (including any personal data as defined in the Data Protection Legislation) for the purposes and in the manner set out in Clause 1, including, without limitation, Scottish Enterprise sharing any such information (including any personal data as defined in the Data Protection Legislation) as set out in that Clause 1;
2.1.2. Warrant and represent to Scottish Enterprise that, as relevant, you have obtained the consent of each data subject (as defined in the Data Protection Legislation) to provide their personal data to Scottish Enterprise and for it to be used for the purposes set out in Clause 1.
2.1.3. Acknowledge and agree that Scottish Enterprise is under no obligation to share with you drafts of the guide prior to publication and retains full editorial control and discretion as to the final format and layout of any guide;
2.1.4. Acknowledge and agree that: (a) no representation, warranty, assurance or undertaking (express or implied) is or will be made and no responsibility or liability is or will be accepted, by Scottish Enterprise or by any of its’ officers, employees or agents, in relation to the use of the information on the form and/or the use by Scottish Enterprise of the guide; and (b) acknowledge and agree that no representation, warranty, assurance or undertaking (express or implied) is or will be made and no responsibility or liability is or will be accepted, by Scottish Enterprise or by any of its’ officers, employees or agents in relation to the use and/or holding of the information on the form and/or the guide itself by any third party; and all and any such responsibility of Scottish Enterprise is expressly disclaimed.
2.1.5. Acknowledge and agree that the information in the guide may have changed after the date on which the guide is made available to the public and that Scottish Enterprise is not obliged to update or revise any information provided to it on this form and/or contained within the guide. It is your responsibility to update Scottish Enterprise as required with any changes to the information (including any personal information) that you may require. 3. Intellectual Property
3.1 By completing and returning this form you hereby grant to Scottish Enterprise a worldwide, non-exclusive, perpetual, royalty free licence of all and any Intellectual Property Rights (as defined below) in and to the information provided by you(including without limitation, in respect of any logo), with the right to use, exhibit, distribute publish, change and/or otherwise exploit such information and/or grant sub-licences of same, and in respect of all media, whether now known or devised in the future, including without limitation, print and digital.
3.2 You further warrant, represent and undertake to Scottish Enterprise that you own, or have the right to use all Intellectual Property Rights in and to the information provided on this form. You shall indemnify and hold Scottish Enterprise harmless against any and all liabilities, costs, expenses, damages and losses and all other reasonable professional costs and expenses suffered or incurred by us arising out of or in connection with its’ use of the information.
3.3 For the foregoing purposes, “Intellectual Property Rights” means any and all intellectual property or industrial rights of any description anywhere in the world including any patents, trademarks, domain names, registered designs, copyright (including rights in computer software (including object and source code)), rights in the nature of copyright, database rights, semiconductor topography rights, unregistered design rights, rights in and to trade names, business names, product names and logos, inventions, databases, discoveries, specifications, formulae, processes, know how, trade secrets, confidential information and any analogous or similar right in any jurisdiction (whether registered, unregistered, registrable or not and any applications or rights to apply for registration of any of them)
